Presale Terms

These Presale Terms describe the currently planned TRYV Presale and remain subject to final legal and compliance review before participation is enabled.

1. What participants are acquiring

TRYV is intended to function as a utility token within the Taryven merchant and payment ecosystem. Planned utility includes participation in Taryven ecosystem functions and programs as those services are developed and made available.

A Presale purchase does not include a promise by Taryven that TRYV will increase in value, produce a return, generate income, or become liquid on a secondary market.

2. Exchange listing and future market value

Taryven currently intends to pursue future decentralized-exchange or other secondary-market availability as part of the project roadmap. Exchange listing, trading, liquidity, market adoption, and any particular launch date are not guaranteed.

If TRYV becomes available on a secondary market, market participants and market conditions will determine the trading price. Taryven does not promise or guarantee a future TRYV price or increase in value.

3. Presale duration

The TRYV Presale does not have a guaranteed fixed duration. The currently configured Presale hard cap is $10,000,000 USD.

The Presale may end when the hard cap is reached. Taryven may also pause, close, or conclude the Presale before the hard cap is reached when appropriate for project, security, operational, legal, compliance, or other reasons.

4. Presale pricing

TRYV Presale pricing is structured across six contribution stages, beginning at $0.030 per TRYV and progressing through later stages up to $0.055 per TRYV.

A contribution that crosses a stage boundary may be allocated across more than one pricing stage. The deployed Presale smart contract determines the authoritative TRYV allocation using the applicable stage pricing and Presale contribution totals.

5. Accepted payment assets

The production TRYV Presale is designed to accept only the supported Ethereum Mainnet USDC and USDT contracts configured by Taryven.

Participants are responsible for verifying the blockchain network, token contract, destination, amount, and wallet transaction before signing. Sending unsupported assets or using an unintended network may result in loss.

6. Minimum purchase

The currently configured minimum Presale purchase is $25 USD, subject to the deployed smart contract and any applicable participation restrictions.

7. TRYV release schedule

Presale-purchased TRYV is not planned to become fully available at once. Under the current release structure, 25% of a purchaser's original TRYV allocation becomes available at TGE.

The remaining 75% is scheduled to be released in 12 installments, one every 30 days. Each installment equals 6.25% of the purchaser's original TRYV allocation.

In simple terms: 25% is scheduled for TGE, and the rest is released gradually over the following 12 monthly release periods.

8. TGE

TGE refers to the token-generation or distribution event used by the Taryven distribution system as the starting point for applicable token release schedules.

TGE is not currently configured. Until a TGE is formally established, no specific TGE date should be assumed or relied upon.

9. Presale and project risk

Digital-asset presales involve substantial risk. Development plans may change. Technical, security, market, business, legal, regulatory, operational, or adoption issues may arise.

Some digital-asset projects and presales never reach an active secondary market or achieve their intended level of adoption. Participation should not be based on an assumption that TRYV will become tradable, liquid, profitable, or more valuable.

10. No automatic refund mechanism

The currently deployed Presale structure does not provide an automatic refund mechanism merely because a development milestone, exchange listing, TGE, adoption target, or other future event does not occur on an expected schedule.

The $1.5 million soft-cap figure used in Taryven planning is a development and launch milestone. It is not an automatic refund threshold.

11. No guaranteed secondary market

There is no guarantee that a market for TRYV will develop or continue. Even if TRYV becomes tradable, market liquidity may be limited and the market price may fluctuate substantially.

12. Wallet responsibility

Participants are responsible for maintaining control of the wallet used for participation and for protecting wallet credentials. Blockchain transactions may be irreversible.

Taryven will never need a participant's seed phrase or private key to process an ordinary Presale purchase.

13. Eligibility and restrictions

Participation may be limited or unavailable where required by applicable law, regulation, compliance requirements, sanctions, platform restrictions, or other participation controls.

Each participant is responsible for determining whether participation is permitted under requirements applicable to that participant.

14. Smart-contract operation

Certain Presale terms, including accepted payment assets, pricing calculations, purchase minimums, contribution limits, and allocation accounting, are enforced or recorded through deployed smart contracts.

In the event of a discrepancy between a website estimate and an authoritative on-chain calculation, the deployed smart-contract state and transaction result control the on-chain allocation.
